Articles of Association of the Taiwan Association for Innovative Interdisciplinary Education

The Ministry of the Interior approved the filing for record in its Letter Tai-Nei-Tuan-Zi No. 1140006688, March 2025.


Chapter I General Provisions

Article 1 The name of this association is the Taiwan Association for Innovative Interdisciplinary Education (hereinafter referred to as “the Association”).

Article 2 The Association is a public-interest social organization established in accordance with the law and not established for profit. Its purpose is to enhance the global capacity and standards of Taiwan’s cross-disciplinary research and practice collaboration models, promote exchange and cooperation among disciplines and between science and society, and respond to complex social challenges.

Article 3 The Association’s missions are as follows, and shall be promoted and implemented in accordance with relevant laws and regulations:

1. To organize domestic and international activities related to innovative interdisciplinary education, including lectures, forums, seminars, academic research, and collaborative exchanges.

2. To provide talent training in innovative interdisciplinary education.

3. To provide recommendations to the government on policies related to interdisciplinary learning and education.

4. To undertake other matters consistent with the purposes of the Association.

Article 4 The competent authority of the Association is the Ministry of the Interior. The Association’s activities related to its purposes shall be guided and supervised by the competent authorities of the respective sectors.

Article 5 The organizational area of the Association shall cover the national administrative area.

Article 6 The Association’s office shall be located within the area under the jurisdiction of the competent authority, and branch offices may be established subject to approval by the competent authority.

The organizational regulations for the branch offices referred to in the preceding paragraph shall be adopted by the General Assembly of Members (Member Representatives) and submitted to the competent authority for approval before implementation.

The addresses of the office and branch offices shall be reported to the competent authority for record by official letter upon their establishment or change.

 

      Chapter II Members, Directors, and Supervisors

Article 7 The categories of membership and membership fees of the Association are as follows:

1. Individual Members: Any person aged 20 or above who agrees with the purposes of the Association, is enthusiastic about contributing, and has legal capacity may become an Individual Member by completing an application for membership, passing review by the Board of Directors, and paying the membership fees. The admission fee is NT$500, payable upon joining; the annual membership fee is NT$1,000.

2. Individual Lifetime Members: An Individual Member may become a Lifetime Member by paying the admission fee and lifetime membership fee in a single payment and shall enjoy membership rights for life. The admission fee is NT$500, payable upon joining; the lifetime membership fee is NT$8,000.

3. Student Members: Students enrolled in colleges or universities in Taiwan or abroad who wish to participate in activities related to the Taiwan Association for Innovative Interdisciplinary Education, agree with the purposes of the Association, complete an application for membership, provide a valid student identification card, pass approval by the Board of Directors, and pay the membership fees may become Student Members. The admission fee is NT$500, payable upon joining; the annual membership fee is NT$500.

4. Institutional Members: Public or private institutions or organizations that agree with the purposes of the Association may become Institutional Members by completing an application for membership, obtaining approval from the Board of Directors, and paying the membership fees. An Institutional Member may appoint four representatives to exercise membership rights. The admission fee is NT$3,000, payable upon joining; the annual membership fee is NT$8,000.

5. Institutional Lifetime Members: An Institutional Member may become a Lifetime Member by paying the admission fee and lifetime membership fee in a single payment and shall enjoy membership rights for life. The admission fee is NT$3,000, payable upon joining; the lifetime membership fee is NT$50,000.

6. Honorary Members: Individuals or organizations that agree with the purposes of the Association and have made special contributions to it may become Honorary Members upon approval by the Board of Directors.

Article 8 Members (Member Representatives) have the rights to vote, elect, be elected, and recall. Each Member (Member Representative) has one vote.

Article 9 The term of office of Directors and Supervisors of the Association shall be four years.

Article 10 The Association shall have nine Directors, including three Executive Directors, one of whom shall be the Chairperson, and three Alternate Directors.

The Executive Directors shall be elected by and from among all Directors.

The Chairperson shall be elected by all Directors from among the Executive Directors.

Article 11 The Association shall have three Supervisors, including one Executive Supervisor, and one Alternate Supervisor.

The Board of Supervisors shall have an Executive Supervisor, elected by and from among the Supervisors, who shall supervise the Association’s day-to-day affairs and serve as chairperson of the Board of Supervisors.

Article 12 Members have the duty to comply with the Articles of Association and resolutions of the Association and to pay membership fees.

Members who fail to pay membership fees may not exercise membership rights. Members who fail to pay membership fees for two consecutive years shall be deemed to have withdrawn voluntarily. If a Member who has been expelled, withdrawn, or suspended applies to resume membership or restore membership rights, the Member shall pay all outstanding membership fees, unless the Board of Directors approves a valid reason.

Article 13 If a Member (Member Representative) violates laws or regulations or fails to comply with a resolution of the General Assembly of Members, the Board of Directors may resolve to issue a warning or impose a suspension of rights. If the harm caused to the organization is serious, the General Assembly of Members may resolve to expel the Member.

Article 14 A Member shall be deemed to have left the Association upon the occurrence of any of the following:

1. Death.

2. Loss of membership qualifications.

3. Expulsion by resolution of the General Assembly of Members (Member Representatives).

Article 15 A Member may submit a written statement to the Association specifying the reasons for withdrawal.

 

      Chapter III Organization and Powers

Article 16 The General Assembly of Members shall be the highest authority of the Association. If the number of Members (Member Representatives) exceeds 300, Member Representatives may be elected by district in proportion to membership, after which a General Assembly of Member Representatives shall be convened to exercise the powers of the General Assembly of Members. The term of office of Member Representatives shall be the same as that of Directors and Supervisors. Their number and election procedures shall be implemented after approval by the Board of Directors and submitted to the competent authority for record.

Article 17 The powers of the General Assembly of Members (Member Representatives) are as follows:

1. To establish and amend the Articles of Association.

2. To elect and recall Directors and Supervisors.

3. To resolve the amounts and methods of admission fees, annual membership fees, program fees, and member donations.

4. To resolve annual work plans, reports, budgets, and final accounts.

5. To resolve the expulsion of Members (Member Representatives).

6. To resolve dispositions such as the purchase, sale, or transfer of property or the creation of other rights thereon.

7. To resolve the dissolution of the Association.

8. To resolve other major matters concerning the rights and obligations of Members.

The scope of the major matters referred to in Subparagraph 8 of the preceding paragraph shall be determined by the Board of Directors.

Article 18 The Directors and Supervisors of the Association shall be elected by the Members (Member Representatives), and a Board of Directors and a Board of Supervisors shall be formed separately.

When electing the Directors and Supervisors referred to in the preceding paragraph, Alternate Directors and Alternate Supervisors may be elected simultaneously according to the vote-counting results. When a Director or Supervisor position becomes vacant, the respective alternate shall fill the vacancy in order.

The Board of Directors may propose a reference list of candidates for Directors and Supervisors for the next term.

Directors and Supervisors may be elected by correspondence. The procedures for election by correspondence shall be implemented after approval by the Board of Directors and submitted to the competent authority for record.

Article 19 The Chairperson shall supervise and coordinate the Association’s affairs internally, represent the Association externally, and serve as chairperson of the General Assembly of Members and the Board of Directors.

If the Chairperson is unable to perform the duties due to any reason, the Chairperson shall designate one Executive Director to act on their behalf. If the Chairperson does not or cannot make such designation, the Executive Directors shall select one among themselves to act on the Chairperson’s behalf.

If the position of Chairperson or Executive Director becomes vacant, a by-election shall be held within one month.

Article 20 The powers of the Board of Directors are as follows:

1. To review and determine the qualifications of Members (Member Representatives).

2. To elect and recall the Executive Directors and Chairperson.

3. To resolve the resignation of Directors, Executive Directors, and the Chairperson.

4. To appoint and dismiss staff members.

5. To draft annual work plans, reports, budgets, and final accounts.

6. To propose a reference list of candidates for Directors and Supervisors for the next term.

7. To handle other matters that should be implemented.

Article 21 If the Executive Supervisor is unable to perform the duties due to any reason, the Executive Supervisor shall designate one Supervisor to act on their behalf. If the Executive Supervisor does not or cannot make such designation, the Supervisors shall select one among themselves to act on the Executive Supervisor’s behalf.

If the position of chairperson of the Board of Supervisors (Executive Supervisor) becomes vacant, a by-election shall be held within one month.

Article 22 The powers of the Board of Supervisors are as follows:

1. To supervise the implementation of the work of the Board of Directors.

2. To review the annual final accounts.

3. To elect and recall the Executive Supervisor.

4. To resolve the resignation of Supervisors and the Executive Supervisor.

5. To handle other matters requiring supervision.

Article 23 Directors and Supervisors shall serve without remuneration and may be re-elected. The Chairperson may serve no more than one consecutive additional term. The terms of office of Directors and Supervisors shall be calculated from the date of the first meeting of the Board of Directors of the current term.

Article 24 A Director or Supervisor shall be immediately removed from office upon the occurrence of any of the following:

1. Loss of Member (Member Representative) qualifications.

2. Resignation for any reason approved by resolution of the Board of Directors or Board of Supervisors.

3. Recall or removal from office.

4. A period of suspension of rights exceeding one-half of the term of office.

Article 25 The Association shall have one Secretary-General, who shall handle the Association’s affairs under the direction of the Chairperson, and a number of other staff members, whose appointment and dismissal shall be submitted to and approved by the Board of Directors.

Staff members referred to in the preceding paragraph may not concurrently serve as Directors or Supervisors.

The duties, responsibilities, and matters subject to delegated responsibility of staff members shall be separately prescribed by the Board of Directors.

Article 26 The Association may establish various committees, groups, or other internal operating organizations. Their organizational regulations shall take effect upon approval by the Board of Directors, and the same shall apply to amendments.

Article 27 The Board of Directors may appoint one Honorary Chairperson and several Honorary Directors and Advisors. Their terms of appointment shall be the same as the terms of office of Directors and Supervisors.

 

      Chapter IV Meetings

Article 28 The General Assembly of Members (Member Representatives) shall consist of regular and extraordinary meetings, both convened by the Chairperson. Except in the case of an extraordinary meeting necessitated by an emergency, all persons required to attend shall be notified at least 15 days before the meeting.

A regular meeting shall be held once each year. An extraordinary meeting shall be held when the Board of Directors considers it necessary, when requested by at least one-fifth of the Members (Member Representatives), or when the Board of Supervisors sends an official letter requesting its convening.

After the Association has completed legal-person registration, an extraordinary meeting shall be convened upon the request of at least one-tenth of the Members (Member Representatives).

The General Assembly of Members (Member Representatives) may be convened by videoconference or other methods announced by the central competent authority. Sign-in and voting shall be conducted using the functions of electronic equipment. However, matters involving elections, by-elections, or recalls shall be handled through physical meetings.

Article 29 If a Member (Member Representative) is unable to attend the General Assembly of Members in person, the Member may appoint another Member (Member Representative) in writing to act as proxy. Each Member (Member Representative) may act as proxy for no more than one person.

Article 30 Resolutions of the General Assembly of Members (Member Representatives) shall be adopted with the attendance of more than half of all Members (Member Representatives) and the consent of more than half, or a larger number, of those attending. However, resolutions on the following matters shall require the consent of at least two-thirds of those attending:

1. Establishment or amendment of the Articles of Association.

2. Expulsion of Members (Member Representatives).

3. Recall of Directors and Supervisors.

4. Disposition of property.

5. Dissolution of the Association.

6. Other major matters concerning the rights and obligations of Members.

After the Association has completed legal-person registration, amendments to the Articles of Association shall require the consent of at least three-fourths of those attending or the written consent of at least two-thirds of all Members. The Association may be dissolved at any time by a resolution approved by at least two-thirds of all Members.

Article 31 The Board of Directors and the Board of Supervisors shall each hold a meeting at least once every six months. Joint or extraordinary meetings may be held when necessary.

Except for extraordinary meetings, all persons required to attend shall be notified at least seven days before a meeting is convened. Resolutions of each board shall be adopted with the attendance of more than half of its Directors or Supervisors and the consent of a larger number of those attending.

Article 32 Directors shall attend meetings of the Board of Directors, and Supervisors shall attend meetings of the Board of Supervisors. Attendance by proxy is not permitted at meetings of the Board of Directors or Board of Supervisors.

Meetings of the Board of Directors, Board of Supervisors, and joint meetings of Directors and Supervisors may be convened by videoconference or other methods announced by the central competent authority. Directors and Supervisors who attend such videoconferences shall be deemed to have attended in person, and sign-in and voting shall be conducted using the functions of the videoconferencing equipment. However, matters involving elections, by-elections, or recalls shall be handled through physical meetings.

A Director or Supervisor who is absent from two consecutive meetings of the Board of Directors or Board of Supervisors without just cause shall be deemed to have resigned.

 

      Chapter V Funding and Accounting

Article 33 The sources of the Association’s funding are as follows:

1. Admission fees.

2. Annual membership fees.

3. Program fees.

4. Member donations.

5. Entrusted-operation income.

6. Funds and the income therefrom.

7. Other income.

Article 34 The Association’s fiscal year shall be the calendar year, from January 1 through December 31 each year.

Before the beginning of each fiscal year, the Board of Directors shall prepare the annual work plan and statement of budgeted revenues and expenditures. Within three months after the end of the year, the Board of Directors shall prepare the previous year’s work report and accounting report and submit them to the Board of Supervisors for review. The Board of Supervisors shall prepare a review opinion and return it to the Board of Directors. Together with the annual work plan and statement of budgeted revenues and expenditures, these documents shall be submitted to the General Assembly of Members (Member Representatives) for approval and then submitted to the competent authority for record. If the General Assembly of Members (Member Representatives) cannot be convened as scheduled for any reason, the documents may first be approved by the Board of Directors and Board of Supervisors or by a joint meeting of Directors and Supervisors, then submitted to the General Assembly for ratification, and subsequently submitted to the competent authority for record.

Article 35 Upon dissolution of the Association, its remaining property shall belong to the local self-governing body at the location of the Association or to the agency or organization designated by the competent authority.

If the Association has completed legal-person registration, the appointment of liquidators and the procedures for liquidation of property upon dissolution shall, except as otherwise provided by law, be handled in accordance with the Civil Code. If the Association has not completed legal-person registration, these matters shall be handled in accordance with a resolution of the General Assembly of Members (Member Representatives). If the General Assembly of Members (Member Representatives) is unable to adopt a resolution, the Chairperson shall serve as liquidator, and the provisions of the Civil Code concerning liquidation shall apply mutatis mutandis.

 

      Chapter VI Supplementary Provisions

Article 36 Matters not provided for in these Articles of Association shall be handled in accordance with relevant laws and regulations.

Article 37 These Articles of Association shall take effect upon adoption by the General Assembly of Members (Member Representatives) and submission to the competent authority for record. The same shall apply to amendments.

Article 38 These Articles of Association were adopted at the First General Assembly of Members of the First Term of the Association on January 18, 2025.
